Terms of Service

These Terms of Service govern your access to and use of Kagu, an AI cost-control and gateway layer for subscription applications. Kagu helps teams route model requests, understand AI usage by subscriber or account, apply plan-aware controls, and manage the operational data needed to keep AI features economically sustainable.

These Terms are between you and Kagu Limited. By creating an account, connecting an application, using the API gateway, or otherwise accessing Kagu, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

You may use Kagu only if you are legally able to enter into a binding agreement and are not barred from using the Service under applicable law. If you use Kagu for a company or other organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for keeping account credentials, team invitations, API keys, provider credentials, and billing access secure. You are also responsible for activity by users, administrators, contractors, and integrations that access your workspace or projects.

• Keep account information accurate and up to date.
• Use appropriate access controls for team members and connected applications.
• Promptly notify us at hello@kagu.sh if you believe your account, API keys, or credentials have been compromised.

Kagu provides gateway, observability, routing, caching, guardrail, usage analytics, and billing connector features for applications that send AI requests to model providers. You decide which applications, providers, subscription systems, customers, subscribers, and request flows you connect to Kagu.

You are responsible for configuring Kagu for your intended use, testing policies before production enforcement, monitoring request behavior, and maintaining your own application, provider accounts, customer relationships, and subscription obligations.

• Kagu may process request metadata, routing decisions, cost estimates, model selections, cache events, guardrail outcomes, subscription identifiers, and usage analytics to provide the Service.
• Kagu may allow you to configure subscriber-aware rules, including routing, caps, fallback behavior, caching, and access controls based on connected plan or entitlement data.
• You are responsible for prompts, inputs, outputs, policy settings, provider credentials, and any customer or subscription data you submit or connect.

As between you and Kagu, you retain ownership of prompts, outputs, application data, customer data, subscription data, request logs, metadata, configuration, and other content you submit to or generate through the Service. You grant Kagu the rights needed to host, process, transmit, analyze, and display that content to provide, secure, support, and improve the Service.

Request Data may include prompts or portions of prompts, outputs or portions of outputs, model names, provider names, token counts, latency, costs, cache status, routing decisions, guardrail results, API key identifiers, environment labels, customer or subscriber identifiers, billing connector data, and other metadata sent by your application or generated by Kagu.

You are responsible for determining what data you send to Kagu and for ensuring that you have all notices, consents, rights, and legal bases required to process that data through the Service.

Kagu is designed to work with AI providers, subscription platforms, billing systems, identity providers, analytics tools, and other third-party services that you choose to connect. Those services are not controlled by Kagu, and their terms, fees, availability, safety practices, and data handling rules apply separately.

Provider costs are separate from Kagu fees. Your OpenAI, Anthropic, or other AI provider usage remains billed by the provider or reseller you use unless a separate written agreement says otherwise.

• You are responsible for your provider accounts, API keys, provider credentials, rate limits, model access, and usage charges.
• Kagu may route, cache, block, allow, or annotate requests according to your configuration, but Kagu does not guarantee the accuracy, safety, legality, or availability of any third-party model output.
• Third-party service interruptions or changes may affect Kagu features that depend on those services.

Kagu plans may include a base subscription fee, request allowances, retention limits, feature limits, usage-based overage, add-ons, and other commercial terms shown at checkout, in the product, on our pricing page, or in an order form.

Current public plans include Free, Pro, Business, and Enterprise packaging. Free includes a limited monthly request allowance and no automatic paid overage. Paid public plans include larger request allowances and automatic paid overage after the included allowance. Enterprise plans may use custom request volumes, support models, retention, procurement, security, and commercial terms.

Unless otherwise stated, Kagu fees do not include AI provider charges, subscription platform charges, payment processing charges, taxes, or other third-party fees. You are responsible for taxes and charges associated with your use of Kagu and connected services.

• Plan limits may include requests, projects, providers, team members, data retention, policies, guardrails, cache behavior, exports, and support level.
• If automatic overage is enabled for your paid plan, usage beyond the included allowance may be charged at the applicable overage rate without additional approval.
• Add-ons, custom limits, and Enterprise commitments may be billed as described in the applicable checkout flow, order form, or written agreement.

We may offer free plans, trials, promotional credits, or beta access. These offers may be changed, limited, or discontinued at any time unless separate written terms apply.

You may upgrade, downgrade, or cancel your plan through available account controls or by contacting us, subject to the terms shown for your plan. Some changes may take effect immediately, while others may apply at the next billing period.

Refunds, credits, and cancellation effects are governed by our 14-day refund policy unless your written agreement with Kagu states otherwise.

You agree to use Kagu responsibly and only in compliance with applicable law, these Terms, third-party provider terms, and your own obligations to customers and subscribers.

You may not use Kagu to operate abusive, deceptive, illegal, harmful, or security-compromising activity, or to bypass provider, platform, or regulatory restrictions.

• Do not attempt to disrupt, probe, overload, reverse engineer, or gain unauthorized access to Kagu or another customer account.
• Do not submit content or configure automations that infringe rights, violate privacy, facilitate fraud, malware, harassment, unlawful surveillance, or other illegal activity.
• Do not use Kagu to evade AI provider safety policies, rate limits, billing obligations, or access restrictions.
• Do not misrepresent usage, subscriber data, billing data, or account ownership.

Kagu and its software, APIs, dashboards, design, documentation, trademarks, logos, and other materials are owned by Kagu or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights in the Service.

You may not copy, modify, distribute, sell, lease, or create derivative works from Kagu except as permitted by law or by a written agreement with us. You may use Kagu documentation and integration materials solely to use the Service in accordance with these Terms.

If you provide ideas, requests, comments, bug reports, or other feedback about Kagu, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation. We are not required to treat feedback as confidential unless we separately agree in writing.

Our handling of personal information is described in our Privacy Policy. Kagu may collect account information, product usage data, request metadata, analytics, diagnostics, logs, and billing information to provide, secure, support, analyze, and improve the Service.

You are responsible for deciding whether personal information, customer identifiers, subscriber identifiers, prompts, outputs, or billing data should be sent to Kagu and for configuring your application and account accordingly.

We work to keep Kagu reliable, but the Service may be unavailable, degraded, modified, or discontinued from time to time because of maintenance, upgrades, incidents, beta changes, security measures, provider outages, infrastructure issues, or business decisions.

We may add, change, suspend, or remove features, limits, plans, pricing, integrations, APIs, or documentation. For material changes to paid plans, we will use reasonable efforts to provide notice as required by law or by your written agreement.

You may stop using Kagu or cancel your subscription according to the controls available in the Service or the terms of your order. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, or use the Service in a way that may harm Kagu, other customers, providers, or third parties.

After termination, your right to use the Service ends. We may retain or delete data according to our policies, legal obligations, backup practices, and any applicable written agreement. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, and governing law.

Kagu is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

Kagu does not guarantee that AI outputs will be accurate, complete, safe, lawful, non-infringing, or suitable for your use case. You are responsible for evaluating prompts, outputs, model behavior, provider choices, guardrail settings, and customer-facing decisions before relying on them.

To the fullest extent permitted by law, Kagu and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services.

To the fullest extent permitted by law, Kagu's total liability for any claim relating to the Service or these Terms will not exceed the amounts you paid to Kagu for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you have not paid Kagu during that period. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.

These Terms are governed by the laws of England, without regard to conflict of laws rules. The courts or dispute resolution forum located in England will have exclusive jurisdiction unless applicable law requires otherwise.

We may update these Terms from time to time. If changes are material, we will use reasonable efforts to notify you through the Service, by email, or by another appropriate method. The updated Terms will become effective when posted or at the later date stated in the notice.

Your continued use of Kagu after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Service before the updated Terms apply.
